RENEW LABS – AFFILIATE AGREEMENT Effective Date: January 1, 2026 Company: Renew Labs ("Company") Affiliate: ("Affiliate") 1. Acceptance of Agreement By submitting an application to the Renew Labs Affiliate Program and/or participating in the program, Affiliate acknowledges that they have read, understood, and agreed to be bound by this Agreement in full. No separate signature is required. Approval into the program constitutes acceptance of all terms herein. 2. Affiliate Relationship Affiliate is an independent contractor and not an employee, partner, or agent of the Company. Affiliate has no authority to bind the Company to any agreement or representation. 3. Affiliate Responsibilities Affiliate agrees to: • Promote Company products in a truthful and non-misleading manner • Clearly disclose any affiliate relationship in accordance with Federal Trade Commission guidelines • Ensure disclosures are clear, conspicuous, and included within content (not hidden or misleading) 4. Marketing Guidelines (General Use) To maintain consistency and protect the integrity of the brand, Affiliate agrees to follow these general guidelines: • Products should be presented as intended for research or informational purposes only • Affiliate should avoid portraying products as intended for human consumption • Affiliate should avoid making medical, therapeutic, or disease-related claims • Affiliate should not depict or imply personal use, ingestion, or administration of products in a manner inconsistent with their intended classification These guidelines are intended to provide general direction and may be updated periodically. 5. Content & Platform Compliance Affiliate is responsible for ensuring that all content: • Complies with applicable laws and regulations, including guidance from the Food and Drug Administration • Complies with platform policies (e.g., Instagram, TikTok, etc.) • Does not include false, deceptive, or misleading statements Company is not responsible for Affiliate content but reserves the right to request edits or removal. 6. Compensation Affiliate will earn commissions based on qualified sales tracked through their unique referral link or code. • Commission structure: 15% of the net order total on every qualified sale attributed to the Affiliate's unique referral link or vanity code. • Payment schedule: Commissions accrue as "pending" at the time of sale and move to "confirmed" after the applicable return window. Affiliates may request a payout once their confirmed balance reaches $25.00. Payouts are processed weekly via PayPal, Venmo, Cash App, or bank transfer. • Company reserves the right to adjust commission rates with notice. 7. Prohibited Conduct Affiliate may not: • Misrepresent the Company or its products • Engage in spam, misleading advertising, or false claims • Use unauthorized trademarks, branding, or impersonation tactics 8. Termination Company may suspend or terminate Affiliate participation at any time, with or without cause. Grounds for termination may include: • Violation of this Agreement • Non-compliant marketing practices • Conduct that may harm the Company's reputation Upon termination, any unpaid commissions may be forfeited at Company's discretion if tied to violations. 9. Limitation of Liability Company shall not be liable for indirect, incidental, or consequential damages arising from Affiliate participation. 10. Indemnification Affiliate agrees to indemnify and hold harmless the Company from any claims, damages, or liabilities arising from Affiliate's marketing, content, or breach of this Agreement. 11. Modifications Company may update this Agreement at any time. Continued participation constitutes acceptance of any updated terms. 12. Governing Law This Agreement shall be governed by the laws of the State of Texas. Final Acknowledgment By applying to and/or participating in the Renew Labs Affiliate Program, Affiliate confirms that they have read and understood this Agreement in full and agree to comply with all terms and guidelines.
